The review of the book Comparative Corporate Governance, written by Rado Bohinc and published by the Faculty of Management, University of Primorska, represents a comprehensive overview of the comparative corporate governance; it is dealing with the question which path of the future development of commercial institutions, legal principles, rules and the practice of corporate governance can offer an exit from the financial and economic crisis. The crucial dilemmas are the issue of the maximization of the shareholder value, the protection of small shareholders and other stakeholders, the role, accountability and remuneration of the management. Different models of corporate law are dealing with these issues differently. Only the qualified discussion on the basis of the comprehensive theoretical, conceptual and comparative legal overview can help us in our effort to provide a more balanced long term development.
